Company: Calpine Labs Private Limited

This agreement is made between: 

  1. HR Tray, a product under Calpine Labs Private Limited, a company incorporated under the laws of India, having its registered office Ernakulam, Kerala, India, 682306, represented by its authorised representative, hereinafter referred to as the “Supplier”. 
  2. And any natural or legal person subscribing to or using one or more services provided by HR Tray, hereinafter referred to as the “Customer”.

In the event of conflict, this English version shall prevail, and the Agreement shall be governed by the laws of India.

Definitions

Customer: Any individual or legal entity subscribes to or using HR Tray services, including free and paid plans.

Platform: The HR Tray web platform accessible via https://hrtray.com, including dashboard, management interface, analytics tools and related infrastructure.

Service: HR Tray helps HR teams screen resumes quickly, manage candidates efficiently, and store applicant data securely with restricted access.

Content: Applicant resumes can be uploaded to the HR Tray platform, where they are screened using AI and automatically ranked based on relevance and matching criteria.

ARTICLE 1: PURPOSE

The Customer confirms having verified the suitability of the HR Tray Platform for their requirements and having received sufficient information to make an informed decision.

This Agreement defines the technical, operational, and financial conditions under which the Customer accesses and uses HR Tray services.

These General Conditions apply to all services, including free and paid offerings, and prevail over any conflicting customer terms.

ARTICLE 2: DESCRIPTION OF SERVICES

HR Tray is an online Software-as-a-Service (SaaS) platform designed to assist recruiters, hiring managers, and human resource teams in managing and optimizing the recruitment lifecycle. The Platform enables Customers to:

  1. Create and manage organization accounts and recruitment workspaces

  2. Post job openings and define role-specific criteria

  3. Upload, import, or receive applicant resumes and candidate data

  4. Utilize Artificial Intelligence (AI)-based resume parsing and screening tools

  5. Automatically extract structured information from resumes, including skills, qualifications, and experience

  6. Generate candidate scoring, ranking, and shortlist recommendations based on predefined job requirements

  7. Manage candidate pipelines, application stages, interview workflows, and hiring decisions

  8. Collaborate internally through notes, comments, and team-based access controls

  9. Access dashboards, reports, and recruitment analytics

  10. Manage users, roles, permissions, and subscription plans

Upon processing uploaded resumes, the Platform may generate structured candidate profiles, screening summaries, ranking outputs, and downloadable reports accessible to authorized Users.

The Service is delivered exclusively through internet access and requires:

  1. A compatible web browser, including current or recent stable versions of Microsoft Edge, Google Chrome, Mozilla Firefox, or Safari

  2. Stable internet connectivity

  3. Supported operating systems including Windows 10 and above, macOS 12 and above, or modern Linux distributions

Service performance and availability may depend on infrastructure capacity, internet connectivity, cloud hosting environments, and third-party integrations where applicable.

AI-based screening results provided by HR Tray are intended as decision-support tools only. Final hiring decisions remain solely the responsibility of the Customer.

Features and functionality may vary depending on the selected subscription plan (including Free, Trial, or Paid Subscription tiers).

ARTICLE 3: ACCOUNT CREATION AND ACCESS

To access certain services, the Customer must create an account by providing accurate and up-to-date information.

For paid subscriptions, Customers must register a valid payment method.

The Customer is responsible for maintaining the confidentiality of login credentials.

HR Tray reserves the right to suspend or delete accounts not activated within a reasonable timeframe.

ARTICLE 4: OBLIGATIONS OF THE SUPPLIER

HR Tray undertake to provide the Service with reasonable care and in accordance with industry standards.

The Supplier is subject to an obligation of means and does not guarantee uninterrupted or error-free service.

HR Tray may perform maintenance, updates, or infrastructure improvements which may temporarily interrupt service.

ARTICLE 5: LIMITATION OF LIABILITY

HR Tray shall not be liable for:

  1. Force majeure events (natural disasters, government orders, infrastructure failures, etc.)
  2. Network outages or third-party service failures
  3. Improper use of the Platform by the Customer
  4. Data loss resulting from Customer actions
  5. Security breaches caused by Customer negligence
  6. System Damage: The software causing damage to the user’s computer or device
  7. Business Interruption: The software failure leads to lost profits or business downtime.

Total liability shall not exceed the total amount paid by the Customer during the 12 months preceding the claim.

For free plans and trial periods, the Service is provided “AS IS” and “AS AVAILABLE”, without any warranties of any kind (express or implied), including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. HR Tray does not warrant that the Service will be error-free, uninterrupted, secure, or meet specific requirements. The Customer accepts the Service with all its faults and risks.

Under no circumstances shall HR Tray be liable for indirect damages including loss of profits, loss of business, reputational harm, or data corruption.

ARTICLE 6: CUSTOMER OBLIGATIONS

The Customer undertakes to:

  1. Provide accurate information
  2. Use the Service lawfully
  3. Maintain data backups
  4. Protect login credentials
  5. Ensure compliance with applicable laws

The Customer remains solely responsible for resumes uploaded.

The Customer must not upload or distribute content that is:

  1. Illegal
  2. Fraudulent
  3. Infringing intellectual property rights
  4. Harmful, malicious, or defamatory
  5. Violating public policy or decency

HR Tray reserves the right to suspend accounts for violations.

ARTICLE 7: INTELLECTUAL PROPERTY

All rights, title, and interest in the HR Tray Platform, including:

  1. Software
  2. Infrastructure
  3. Design
  4. Branding
  5. Algorithms
  6. Documentation

remain the exclusive property of Calpine Labs Private Limited.

This Agreement does not transfer ownership rights to the Customer.

ARTICLE 8: USER CONTENT & PUBLICATION

Content uploaded or shared by the Customer may become accessible via generated URLs.

The Customer is solely responsible for:

  1. Distribution of access links
  2. Password protection (if applicable)
  3. Ensuring lawful sharing

Calpine Labs Private Limited may suspend access to HR Tray content that::

  1. Receives legal complaints
  2. Poses security risks
  3. Violates this Agreement

Indexing or automated scraping of hosted content is strictly prohibited.

ARTICLE 9: PERSONAL DATA

HR Tray may collect and process personal data necessary to:

  1. Provide services
  2. Maintain security
  3. Comply with legal obligations

Data may include:

  1. Name
  2. Email address
  3. IP address
  4. Billing information

Data will be retained during the contractual relationship and for a legally required retention period thereafter.

Customers are responsible for complying with applicable data protection laws when processing user data via the Platform.

The Customer represents and warrants that they have the lawful right to upload, process, and store candidate data within the Platform, and that such processing complies with applicable data protection laws.

ARTICLE 10: SECURITY

HR Tray implements reasonable technical and organisational measures to ensure data security, including:

  1. Encrypted connections (SSL/TLS)
  2. Segregated customer environments
  3. Access controls

However, no system can guarantee absolute security.

The Customer is responsible for safeguarding their own systems and credentials.

ARTICLE 11: PAYMENT AND SUBSCRIPTION

Paid services require:

  1. Valid payment method
  2. Timely payment of fees, including all applicable taxes

Failure to pay may result in:

  1. Immediate suspension

Price changes will be communicated in advance (at least 30 days where practicable). No automatic refunds are provided except as required by law.

ARTICLE 12: TERMINATION

The Agreement may be terminated:

  1. By Calpine Labs Private Limited in case of breach
  2. Automatically upon subscription expiry

Upon termination:

  1. Access to services ceases
  2. Data may be deleted after a retention period
  3. No refund is due unless legally required

ARTICLE 13: FORCE MAJEURE

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, government restrictions, infrastructure failures, or cyber-attacks.

If such events continue beyond 30 days, either party may terminate the Agreement.

ARTICLE 14: AMENDMENTS

Calpine Labs Private Limited may modify this Agreement by publishing updates on:

Continued use of the Platform constitutes acceptance of revised terms.

ARTICLE 15: GOVERNING LAW & JURISDICTION

This Agreement shall be governed by the laws of India.

Any disputes shall be subject to the exclusive jurisdiction of the competent courts located in [Kochi, India].

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, government restrictions, infrastructure failures, or cyber-attacks.

If such events continue beyond 30 days, either party may terminate the Agreement.

ARTICLE 16: GENERAL PROVISIONS

If any clause is held invalid, the remaining provisions shall remain in full force.

Failure to enforce any provision shall not constitute a waiver.

Electronic communications between the parties shall have legal validity.
